Solar SA Investments Proprietary Limited, a wholly owned step-down subsidiary of Solar Industries India Limited, will acquire all outstanding shares of South Africa-based Omnia Holdings Limited in an all-cash transaction valued at approximately USD 1.355 billion (INR 12,951 crore), the companies said in a statement. The deal is subject to regulatory approvals and approval from Omnia shareholders.
Omnia, headquartered in South Africa and listed on the Johannesburg Stock Exchange, has a 73-year heritage and operates across mining and agriculture in 23 countries, serving customers in more than 40 countries through over 70 distribution centres. For the financial year ended March 31, 2026, Omnia reported revenue of approximately USD 1.41 billion (INR 13,307 crore) and remained net cash positive.
Omnia’s mining business, operating under the BME brand, provides bulk explosives, electronic detonation systems, digital blasting solutions and mining chemicals. Its agriculture segment offers crop nutrition products through its Nutriology model and Agribio biological solutions, alongside nitric acid and ammonium nitrate production facilities. The company recently doubled its ammonium nitrate storage capacity with a new 5,000-tonne tank.
Solar Industries entered the Southern African Development Community region in 2010 with a manufacturing facility in Zambia, before starting South African operations in 2015 and commissioning a Middelburg facility in 2017. It expanded further in 2024 through the acquisition of ProBlast, a local open-cast mining and blasting services company.
The company said the Omnia acquisition would strengthen vertical integration, supply security, raw material availability and cost competitiveness across its explosives value chain, positioning Solar Group as a global leader in explosives and blasting solutions.
