Flipkart Relocates Headquarters to India Ahead of Potential IPO

Flipkart has moved its headquarters from Singapore back to India as it prepares for a potential initial public offering (IPO) in the coming months. The relocation marks a significant shift for the company, which had moved its headquarters overseas more than a decade ago.

According to TechCrunch, the company is targeting a stock market listing in India during the financial year ending March 2027. The move comes as India’s e-commerce market continues to grow rapidly, supported by an expanding internet user base that has crossed one billion subscribers.

The decision also reflects a broader trend among Indian startups bringing their overseas holding structures back to India ahead of public listings. Companies such as Zepto and Groww have taken similar steps in recent years. Groww completed its public listing last year, while Zepto filed confidential paperwork for an IPO in December.

Flipkart’s business has expanded significantly in recent years. According to sources cited by TechCrunch, the company’s gross merchandise value reached around USD 30 billion in 2025, compared with about USD 23 billion in 2021. The platform currently serves more than 500 million customers and works with around 1.6 million sellers across India. Its logistics arm, Ekart, delivers to more than 22,000 PIN codes nationwide.

Founded in 2007 in Bengaluru, Flipkart was among several Indian startups that set up overseas holding companies to attract global investors and navigate regulatory and tax frameworks at the time. In 2018, US retail brand Walmart acquired a majority stake in Flipkart in a deal valued at USD 16 billion.

India has recently encouraged more technology firms to list domestically by offering greater regulatory clarity and simpler tax structures. Flipkart first announced its plan to relocate its headquarters to India in April 2025. By September, the restructuring had received in-principle approval from a Singapore court, while related hearings were also held before India’s National Company Law Appellate Tribunal.

A company spokesperson said, “Flipkart has received Government of India approval for its internal restructuring, pursuant to which Flipkart Internet Private Limited is now the holding entity of the Flipkart group. This completes the redomiciliation of the Flipkart group to India, a significant milestone that reflects our deep and long-term commitment to India.”
