N Chandrasekaran, chairman at Tata Sons stepped down. The resignation came ahead of a Tata Trusts board meeting and the Tata Sons AGM, at which Chandrasekaran’s renewal as a director following retirement by rotation was due to be taken up.
He will remain in office until his current term ends on February 20, 2027, and has asked the board to begin the succession process. He took over as Tata Sons chairman in February 2017, succeeding Cyrus Mistry, and was reappointed for a second term in February 2022.
The decision follows a six-month deadlock over his proposed reappointment for a third term. The Tata Sons board had deferred the matter at its February 24 meeting after concerns were raised over the performance of some newer group businesses. The proposed five-year extension did not receive unanimous board support, leaving the leadership question unresolved.
Chandrasekaran said he had “completed 40 years of professional life at the Tata Group” and was “grateful for the immensely satisfying opportunity to contribute to this venerable institution, adding that leading Tata Sons over the past decade had been “a great honour and a profound responsibility.”
Reason Behind The Exit
The prolonged uncertainty also came amid reported differences between Chandrasekaran and Tata Trusts Chairman Noel Tata. Tata Trusts, which holds about 66percent of Tata Sons, had raised concerns around issues including the performance of some group businesses and the future direction of Tata Sons. The disagreements reportedly extended to matters such as the potential listing of Tata Sons and governance-related issues.
He noted that six months had passed since that board meeting with no resolution reached, and said that with Tata Sons being a large institution with many strategic projects at critical stages of execution, clarity on leadership is important for employees, investors, partners and other stakeholders.
Following the announcement, shares of major Tata group companies, including TCS, Tata Motors, Tata Steel and Titan, declined in early trade today as investors reacted to the leadership transition.
